I had to replace mine twice...First one new from Audi £180 + vat + the door lock that it blew luckily under warranty..Second £75 from a breakers yard but they are not easy come by...
Could be the Control unit in the floor under the passenger seat carpet. Mine did something like this but my problem was the motion sensors for the alarm or so Vagcom said...
Changed the control unit and it was sorted...
You have to put the seat back, remove the trim panel along the sill and pull the carpet up from there. I find it easier if I take out the two bolts at the front of the seat.
I had this problem and Vagcom was only showing a fault with an internal proximity sensor when the problem actually lay...
Check the convenience module under the flooor at the passenger side of your car as water can sometimes get in when the drain in the bulkhead blocks up and plays havoc with the electrics including the alarm
Check the floor of your car underneath the passenger seat.
Check for damp under the carpet around the convenience module that controls windows, mirrors etc.

Have seen various interiors on ebay. S4 and sport leather but I put a sport cloth interior in earlier this year and had to retain my original back seat as the sport one was folding and wouldn't fit.
